　货物 应具 有防 潮、 防锈蚀 、防 震并 适合 于远洋 运输 的包 装， 由于货 物包装不 良而 造成 的货物残损 、灭 失应 由卖 方负责 。卖 方应 在每 个包装 箱上 用

　不褪 色的 颜色 标明 尺码、 包装 箱号 码、 毛 重、 净重 及“ 此端 向上” 、“ 防潮” 、“ 小心 轻放 ” 等标 记。

　The packing of the goods shall be preventive from dampness, rust, moisture, erosion and shock, and shall be suitable for ocean transportation/ multiple transportation. The Seller shall be liable for any damage and loss of the goods attributable to the inadequate or improper packing. The measurement, gross weight, net weight and the cautions such as "Do not stack up side down", "Keep away from moisture", "Handle with care" shall be stenciled on the surface of each package with fadeless pigment.

　The copy of the shipping notice

　装运 条款 （ Terms of Shipment

　） ：

　卖方应 在合 同规 定的装 运日 期前 20 天通知 买方 合同 号、 品名、 数量 、金额、包装

　件、毛重 、尺码 及装 运港 可装 日期，以便

　买方 安排 租船 / 订舱。装运 船只 按期 到达 装运港 后， 如卖 方不 能按时 装船 ，发 生的 空船费 或滞期费 由卖 方负 担。

　在货物 越过 船弦 并脱 离吊钩 以前 一切 费用 和风险 由卖方负 担。

　The Seller shall, 20 days before the shipment date specified in the Contract

　, advise the Buyer the Contract No., commodity, quantity, amount, packages,

　gross weight, measurement, and the date of shipment in order that the Buyer

　can charter a vessel/book shipping space. In the event of the Seller's failure to effect loading when the vessel arrives duly at the loading port, all expenses including dead freight and/or demurrage charges thus incurred shall be for the Seller's account.

　装运 通知 （ Shipping Advice

　） ：

　一但 装载 完毕 ，卖 方应立 即通知买 方合 同编号 、品 名、 已发 运数量 、发票总 金额 、毛 重、 船名/ 车/ 机号 及启 程日 期等 。

　The Seller shall, immediately upon the completion of the loading of the goods, advise the Buyer of the Contract No., names of commodity, loading quantity, invoice values, gross weight, name of vessel and shipment date immediately

　Transshipment is allowed and partial shipment is prohibited.

　转运 被允 许， 和分批装运 被禁 止。

　检验 （ Inspection ） ：

　发货 前， 制造 厂应对 货物 的质 量、 规格、 性能 和数 量/ 重量作 精密 全面的检 验， 出具 检验 证明书 ，并 说明 检验 的技术 数据 和结 论。

　货到目 的港后， 买方 将申请中 国商品 检验 局( 以下 简称商 检局 ) 对货物 的规格 和数 量 / 重量 进行 检验 ，如 发现货 物残 损或 规格 、数量 与合 同规 定不 符，除 保险公司 或轮 船公 司的 责任外 ，买 方得 在货 物到达 目的 港后 的 10 日内 凭商 检局出 具的 检验 证书 向卖方 索赔 或拒 收该 货。在 保证 期内 ，如 货物由 于设计或 制造 上的 缺陷 而发生 损坏 或品 质和 性能与 合同 规定 不符 时，买 方将委托 中国 商检 局进 行检验 。

　The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications,

　performance and quantity/weight, and issue inspection certificates certifying

　the technical data and conclusion of the inspection. After arrival of the goods at the port of destination, the Buyer shall apply to China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of the goods. If damages of the

　goods are found, or the specifications and/or quantity are not in conformity with the stipulations in this Contract, except when the responsibilities lies with Insurance Company or Shipping Company, the Buyer shall, within 10 days after arrival of the goods at the port of destination, claim against the Seller, or reject the goods according to the inspection certificate issued by CCIB. In case of damage of the goods incurred due to the design or manufacture defects and/or in case the quality and performance are not in

　conformity with the Contract, the Buyer shall, during the guarantee

　period, request CCIB to make a survey.

　索赔 （ Claim ） ：

　买方 凭其 委托 的检 验机构 出具 的检 验证 明书向 卖方 提出 索赔 （ 包括 换货），由此

　引起 的全 部费 用应 由卖 方负 担。若卖 方收 到上 述索 赔后

　30 天未予 答复 ，则 认为 卖方已 接受 买方 索赔 。

　The buyer shall make a claim against the Seller (including replacement of the goods) by the further inspection certificate and all the expenses incurred therefrom shall be borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fail to reply within 30 days after the Seller received the Buyer's claim.

　迟交 货与 罚款 （ Late delivery and Penalty

　） :

　除合 同第

　21 条不可 抗力 原因 外，如 卖方 不能 按合 同规 定的 时间交 货，买方应 同意 在卖 方支 付罚款 的条 件下 延期 交货。

　罚款 可由 议付 银行在 议付货款 时扣 除，罚 款率 按每 一天 收 0.02% ，不足 一天 时以 一天计算。但 罚款不得 超过 迟交 货物 总价的 3% 。如卖 方延期交 货超 过合 同规 定 15 天时 ， 买方 有权 撤销 合同 ， 此时 ，卖 方仍 应不 迟延地 按上 述规 定向 买方支 付罚款。

　买方 有权 对因 此遭受 的其 它损 失向 卖方提 出索 赔。

　Should the Seller fail to make delivery on time as stipulated in

　the Contract, with the exception of Force Majeure causes specified in Clause 21 of this

　Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty which shall be deducted by the paying bank

　from the payment under negotiation. The rate of penalty is charged at 0.02% for every day, odd days less than one days should be counted as one days. But the penalty, however, shall not exceed 3% of the total value of the goods involved in the delayed delivery. In case the Seller fail to make delivery 15 days later than the time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of the cancellation, shall nevertheless pay the aforesaid penalty to the

　Buyer without delay.The buyer shall have the right to lodge a claim against the Seller for the losses sustained if any.

　不可 抗力 （ Force Majeure

　） ：

　凡在 制造 或装 船运 输过程 中， 因不 可抗 力致使 卖方 不能 或推 迟交 货时， 卖方 不负 责任 。在发生上 述情 况时 ，卖方 应立 即通 知买 方，并 在 14 天内， 给买 方特 快专 递一 份由当 地民 间商 会签 发的事 故证 明书 。在 此情况 下， 卖方 仍有 责任 采取 一切必 要措 施加 快交货。如 事故 延续 4

　星期以上， 买方有 权撤 销合 同。

　The Seller shall not be responsible for the delay of shipment or non

　-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Seller shall advise

　the Buyer immediately of the occurrence mentioned above and withi

　n14 days thereafter the Seller shall send a notice by courier to the Buyer for their

　acceptance of a certificate of the accident issued by the local chamber of

　commerce under whose jurisdiction the accident occurs as evidence thereof.

　Under such circumstances the Seller, however, are still under the obligation

　to take all necessary measures to hasten the delivery of the goods. In case th

　e accident lasts for more than 4 weeks the Buyer shall have the right to cancel

　the Contract.

　争议 的解 决

　(Arbitration):

　凡因 本合 同引 起的 或与本 合同 有关 的任 何争议 应协 商解 决。若 协商 不成， 应提 交中 国国 际经 济贸易 仲裁 委员 会深 圳分会 ，按 照申 请仲 裁时该 会现

　行有 效的 仲裁 规则 进行仲 裁。

　仲裁 裁决 是终局 的， 对双 方均 有约束 力。

　Any dispute arising from or in connection with the Contract shall be settled through friendly negotiation. In case no settlement is reached, the dispute shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC),Shenzhen Commission for arbitration in accordance

　with its rules in effect at the time of applying for arbitr

　ation. The arbitral award is final and binding upon both parties.

　通知 （ Notices):

　所有 通知 通过 传真/ 电子 邮件 /快件 送达 给各 方。如 果地 址有 变更，一方

　应在变 更后

　3 日内书 面通知 另一 方。

　All notice shall served to both parties by fax/e-mail/courier.If any changes of the addresses occur, one party shall inform the other party of the change of address within 3 days after the change.

　本合 同使 用的 FOB

　术语系 根据 国际 商会《 2010 年国 际贸易 术语 解释

　通则 》。

　The terms FOB in the Contract are based on INCOTERMS 2010 of the International Chamber of Commerce.

　附加 条款

　(Additional clause)

　本合 同上 述条 款与 本附加 条款抵触 时， 以本附 加条 款为 准。Conflicts between Contract clause hereabove and this additional clause, if any, it is subject to this additional clause.
